Altimo and TeliaSonera will appeal a Moscow Court decision that ruled in favour of Megafon’s second largest shareholder AF Telecom in a lawsuit in which the latter asks that an agreement between Altimo and TeliaSonera to merge their MegaFon and Turkcell stakes into a new company be declared null and void. In April, AF Telecom through its majority owned company Telecominvest filed a claim in a Moscow Court, in which it challenged the general agreement of intent between TeliaSonera and Altimo to merge their ownership interests in Turkcell and Megafon into a new company. On 22 June, the court ruled in favour of Telecominvest. The court decision has not come into force yet, TeliaSonera said in a statement. In November 2009, Altimo and TeliaSonera agreed the conditions of the merger, AF Telecom was also invited to join the new company. Altimo and TeliaSonera said they disagree with the court’s decision and believe that it is based on an insufficient analysis of facts and applicable rules and statutes. The two parties believe that the agreement is fully valid and enforceable and does not contradict Russian or other applicable legislation or unlawfully infringe interests of any third party (including Telecominvest). Both companies disagree that a general agreement of intent can be challenged in court as contradictory to the Russian Foreign Investments Law. Altimo and TeliaSonera’s appeal will be submitted to the respective Court of Appeal within the timeframe provided by the law
